AuctionPro.io Terms of Use

By creating an account or using AuctionPro.io, you agree to these Terms of Use. If you do not agree, do not use the site.

1. Who we are and how our role can vary

AuctionPro.io (“AuctionPro,” “we,” “us”) provides online bidding, phone bidding, audio, and live-streaming technology used by independent equine and related auction companies.

Our role can differ by sale. For some auctions we primarily provide the platform. For others we may also collect buyer payments, register bidders, clerk remote bids, or perform other services we expressly agree to provide. We are not the owner or consignor of a lot unless we clearly say so. We are not the auctioneer of the live sale unless that is separately identified for that event.

Each sale is conducted under that auction company’s catalog, sale-day rules, and auction Terms and Conditions.

2. Order of documents

If there is a conflict, the following order applies, to the extent permitted by law:

1. The auctioneer’s or auction company’s official sale-day determination and sale record
2. That auction’s specific Terms and Conditions
3. These AuctionPro Terms of Use

A website display, email, or automated message does not override the auctioneer’s official determination of the successful bidder, hammer price, or whether a lot was sold.

3. Eligibility

You must be at least 18 and able to enter a binding contract. You agree that the information you provide is accurate and that you will keep it current.

4. Accounts, verification, limits, and deposits

You are responsible for your login, password, and all activity on your account, including activity by anyone you allow to use it. Do not share your account. Notify us at info@auctionpro.io if you think it has been misused.
We may, at any time:

1. require identity, contact, or payment verification
2. reject or cancel a registration
3. set or change bidding limits
4. require a deposit or payment-method authorization
5. suspend or revoke bidding or buying privileges
6. close an account

5. Authorization holds and deposits

Registering for certain auctions may require a temporary authorization hold on a payment method, a deposit, or both. The amount, timing, and how the hold or deposit may be applied or released will be disclosed during registration or in that auction’s terms. We may apply a deposit or captured hold toward amounts you owe, including buyer’s premium, the purchase price, taxes, and default amounts, as permitted by the applicable auction terms.

6. Errors and omissions — you must double-check everything

Catalogs, lot numbers, descriptions, pedigrees, performance records, photos, videos, health and registration papers, sale-order lists, bidding screens, bid amounts, “high bidder” or “sold” status, invoices, and live-stream or phone information may contain errors, omissions, delays, or outdated information.

AuctionPro is not liable for errors or omissions. You must independently verify every material fact before you bid or buy. If something does not match, stop and confirm with the auction company or AuctionPro at 812-787-1908 or info@auctionpro.io before you bid.

7. Horse-specific disclaimer

Unless AuctionPro expressly makes a representation in a signed writing, AuctionPro makes no representation about any horse or equine-related lot, including veterinary condition, soundness, temperament, suitability, fertility, breeding status, height, age, sex, color, markings, pedigree, registration eligibility, papers, ownership, performance ability, or future performance.

Any such statements come from the seller, consignor, or auction company, not from AuctionPro. Remote bidders have the same duty to investigate as bidders on the grounds.

8. Auctioneer has final authority

The auctioneer and/or auction company control the live sale. They may, according to that auction’s terms and applicable law:

1. determine the successful bidder
2. resolve disputed, simultaneous, or missed bids
3. reopen bidding
4. withdraw or re-offer a lot
5. reject any bid or bidder
6. correct clerical errors
7. establish the final sale price

The official sale record of the auctioneer/auction company controls. The website is not the authoritative record if it conflicts with that sale record.

9. Online status is preliminary

Any display that you are “winning,” “high bidder,” “sold,” or similar is preliminary until confirmed by the auction company and/or AuctionPro. Floor activity, phone bids, reserves, withdrawals, and timing gaps between the ring and the platform can change the result after the screen updates.

10. Bids, increments, reserves, and rejected bids

Bids placed online or by phone through your registration are binding if accepted as the winning bid, subject to the applicable auction terms.

You are responsible for every bid submitted through your account, including accidental bids, duplicate clicks, wrong lot numbers, misunderstood increments, and bids placed by someone with access to your account, except to the extent the auctioneer elects to grant relief under that sale’s terms.

Bid increments may change. Lots may be offered with a reserve or subject to confirmation. AuctionPro and the auctioneer may reject a bid or bidder. The platform does not guarantee that an online or phone bid will be accepted merely because it appeared to be submitted.

11. Sale-day announcements

Sale-day announcements about withdrawals, corrections, soundness, breeding status, papers, or other lot information control over earlier catalog or website information to the extent provided in that auction company’s terms.
Live video, audio, and phone connections can lag, freeze, or drop. Remote bidders are responsible for obtaining current information before bidding. If you cannot confirm the current announcements, do not bid.

12. Online bidding, phone bidding, and live stream

You are responsible for your internet, device, and phone connection, and for confirming that your bid was received. AuctionPro is not responsible for missed bids, failed connections, delayed or dropped audio/video, or clerk or software mistakes, except as we may choose to address in a specific case.

Phone calls, sale audio, and related communications may be recorded for sale records, dispute review, and quality control. If you do not agree to recording, do not use phone bidding or remain on a recorded line. Recording practices should be implemented in a manner consistent with applicable consent laws.

13. Payment processing

Depending on the auction, payment may be made to AuctionPro, to the auction company, or as otherwise stated on the invoice. Third-party banks and payment providers may process payments. We or they may reject a payment method. Processing fees, returned-payment fees, and authorization holds may apply as disclosed in the registration flow or that auction’s terms.

Registering for or bidding in a specific auction also requires acceptance of that auction’s Terms and Conditions, which control payment deadlines, buyer’s premium, default, and pickup.
Unpaid amounts may result in suspension of bidding and buying privileges on this platform until paid, and any other remedies in the applicable auction terms.

14. Taxes

Buyers are responsible for all applicable sales, use, and similar taxes unless valid exemption documentation is submitted and accepted as required for that sale.

15. Title, possession, papers, and transportation

Unless AuctionPro expressly agrees in writing to perform a particular service, AuctionPro is not responsible for:

1. transfer of title or registration papers
2. boarding, care, loading, or release of an animal
3. pickup, transportation, or insurance
4. injury, illness, death, or escape after the sale
5. acts of haulers, farms, or the auction venue

Risk, care, and logistics follow that auction’s terms. Arrange pickup and transport before you bid if you cannot be on site.

16. Acceptable use

You may not use another person’s account or a false identity; manipulate bidding, collude, or shill; interfere with the site, stream, or other users; scrape or reuse catalogs, video, or data without permission; or use the service for any unlawful purpose.

17. Intellectual property

The AuctionPro name, site, software, and branding belong to AuctionPro. Catalog content, photos, and video may belong to the auction company or consignor. You may use the site only to view sales and bid.

18. Electronic communications and SMS

By creating an account or registering to bid, you consent to receive transactional emails, calls, and text messages related to your account, registration codes, bidding, invoices, payment reminders, and sale notices. Message and data rates may apply. Reply STOP to opt out of texts where that option is offered. Opting out of marketing does not stop transactional messages we need to run a sale or collect payment.

Marketing messages, if any, are separate. Consent to marketing is not a condition of buying where applicable law so requires.

19. No warranties

The platform is provided “as is.” We do not warrant that the site, stream, phone service, or bidding will be uninterrupted, timely, or error-free. We disclaim all warranties to the fullest extent allowed by law, including merchantability, fitness for a particular purpose, and non-infringement.

20. Force majeure

AuctionPro is not liable for delay or failure caused by events outside our reasonable control, including internet or hosting outages, power or telecommunications failures, streaming or phone-provider failures, severe weather, venue failures, equipment failure, labor disputes, government action, or similar circumstances.

21. Limitation of liability

The limitations in this section apply to the maximum extent permitted by applicable law.
To that extent, AuctionPro and its owners, employees, and contractors are not liable for:

1. errors or omissions in any listing, catalog, bid, invoice, stream, or announcement
2. condition, title, papers, identity, or performance of any horse or lot
3. acts or omissions of auction companies, auctioneers, ringmen, consignors, buyers, or transporters
4. lost bids, technical failures, or delayed or dropped audio/video
5. any indirect, incidental, special, or consequential damages

Our total liability to you for any claim related to the platform will not exceed the fees you paid to AuctionPro for the specific sale that gave rise to the claim, or $100 if you paid us nothing.

22. Indemnity

You agree to indemnify and hold AuctionPro harmless from claims arising out of your use of the platform, your bids, your failure to verify information, your breach of these terms, or your violation of an auction company’s terms.

23. Changes

We may update these Terms. We will change the “Last updated” date when we do. For material changes we may require you to accept the new Terms before you continue. Continued use after you are required to accept an updated version means you agree to it.

24. Governing law and venue

These Terms and any dispute arising out of or relating to your use of AuctionPro.io or AuctionPro’s services are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles.

Except where applicable law requires otherwise, any legal action or proceeding arising out of or relating to these Terms or AuctionPro’s services must be brought exclusively in the state or federal courts located in the Indiana county where AuctionPro maintains its principal place of business, and you consent to the personal jurisdiction and venue of those courts.

Nothing in this section changes or overrides laws that must apply to a particular auction, transaction, horse or other lot, or activity based on the location of the auction or other circumstances. A specific auction’s Terms and Conditions may also contain additional provisions concerning governing law, venue, or dispute resolution applicable to that auction and the underlying purchase or sale.

25. General

These Terms are the agreement between you and AuctionPro for use of the website and account. They do not replace a specific auction’s Terms and Conditions. If a court finds one part unenforceable, the rest remains in effect.
